8. CONSENT TO BINDING ARBITRATION
IMPORTANT — WAIVER OF JURY TRIAL AND CLASS ACTION: Please read this section carefully. It affects your legal rights.
8.1 Agreement to Arbitrate
You and American Prime Contractors Inc agree that any and all disputes, claims, or controversies arising out of or relating to these Terms, your use of the Site, or any services provided by American Prime Contractors Inc, including disputes arising before the effective date of these Terms, shall be resolved exclusively through final and binding individual arbitration, rather than in court, except as set forth in Section 8.5 below.
8.2 Arbitration Rules and Procedures
Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or, for business disputes, its Commercial Arbitration Rules), as modified by these Terms. The AAA's rules are available at www.adr.org. If the AAA is unavailable, the parties shall agree on an alternative arbitration provider.
The arbitration shall be conducted by a single neutral arbitrator. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement.
8.3 Location and Format
Unless you and American Prime Contractors Inc agree otherwise, arbitration shall take place in San Francisco, California. For claims of $10,000 or less, the arbitration may be conducted via telephone, online, or based solely on written submissions, at the election of both parties.
8.4 Fees and Costs
Payment of all filing, administration, and arbitrator fees will be governed by the AAA's applicable rules. American Prime Contractors Inc will not seek attorneys' fees or costs in arbitration unless the arbitrator finds your claim to be frivolous.
8.5 Exceptions to Arbitration
Notwithstanding the foregoing, either party may bring an individual action in small claims court in the jurisdiction of San Francisco, California. Either party may also seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, pending arbitration.
8.6 Waiver of Class Action
YOU AND AMERICAN PRIME CONTRACTORS INC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
9. CONSENT TO JURISDICTION AND GOVERNING LAW
9.1 Governing Law
These Terms and any disputes arising out of or related to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
9.2 Consent to Jurisdiction
For any claims or disputes not subject to arbitration under Section 8 (including any claim for emergency injunctive relief or small claims), you expressly consent and submit to the exclusive personal jurisdiction of the state and federal courts located in San Francisco, California. You waive any objection to the exercise of personal jurisdiction over you by such courts and waive any objection that such courts are an inconvenient forum.
9.3 California Residents
If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA) and other California laws. Please refer to our Privacy Policy for more information regarding your California privacy rights.
10. PRIVACY POLICY

12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless American Prime Contractors Inc and its officers, directors, shareholders, employees, agents, and contractors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.
13. SEVERABILITY
If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms continue in full force and effect.
14. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and American Prime Contractors Inc with respect to your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties relating to the Site.
